An assignment of contract is the legal transfer of rights, property, or benefits from one party to another. The document that records that transfer is often called an assignment agreement (or contract assignment agreement).

The person transferring rights is the assignor. The person receiving them is the assignee. After the assignment, the assignee typically steps into the assignor’s place for the transferred rights.

However, an assignment does not always fully remove the assignor from responsibility. Some contracts keep the assignor liable unless the other original party agrees to a release. Because of that, it helps to be clear about what is transferring, and whether any duties are transferring too.

Assignments come up in everyday situations, such as:

• Lease transfers: A tenant assigns their lease to a new tenant, who takes over the remaining term.
• Loan-related transfers: A party transfers certain benefits or obligations tied to a loan.
• Service contracts: A contract’s benefits may move to a new provider or beneficiary.

If you are transferring a rental contract, you may also need a sublease agreement or a lease agreement, depending on how the arrangement works.

These terms are often used together, but they are not always the same.

• Assignment agreement: Focuses on transferring contract rights or benefits. Duties may transfer too, but that depends on the contract language and what the parties agree to.
• Assignment and assumption agreement: Creates a fuller handoff by having the assignee accept the obligations in writing. If the other original party consents, the assignor may be released from future liability.

If the assignee will be performing the work, paying money, or taking on ongoing responsibilities, an assumption clause can help avoid confusion later.

You use an assignment agreement when one party wants to transfer contract rights, benefits, or obligations to someone else. It helps document the change and reduces the risk of disputes about who is responsible after the transfer.

Some contracts require the other party’s written consent before an assignment is valid. If consent is required, an assignment agreement can act as the paper trail showing approval and confirming the new responsible party.

An assignment agreement is easier to enforce when it clearly explains who is involved, what is transferring, and when the change takes effect.

Most assignment agreements include:

• Assignee: The person or business receiving them.
• Assigned contract or property: A clear description of what is being transferred, including dates, titles, and any reference numbers.
• Consideration: Anything of value exchanged for the assignment, if applicable.

• Third-party consent: Whether the original contract requires approval, and confirmation that it was obtained if needed.
