A contract breach demand letter tells the other party they have failed to meet an obligation and states what you want done about it. It names the breach, the harm, and the remedy you are seeking.

The letter usually comes before anything formal. Most disputes settle once one side lays out the problem clearly and attaches the paperwork, which costs everyone far less than litigation.

A demand letter is not a lawsuit and does not start one. It is a request backed by the implication that you are prepared to go further, and plenty of disputes end right there.

The letter also protects your position. A dated letter showing you identified the breach, requested a specific fix, and allowed reasonable time to comply becomes useful evidence if the matter goes further.

Separate a serious failure from a minor one. A delivery arriving two days late with no knock-on effect is a different conversation from a supplier who never delivered at all, and the remedy you ask for should match the scale of what went wrong.

Gather the supporting documents as you go. Invoices, delivery records, and the message thread where the commitment was made all belong in the file before you draft.

Consider whether you contributed. If you paid late, changed the scope midway, or gave verbal approval for a variation, expect that to appear in the reply. Better to address it yourself than to be corrected.

The agreement itself often dictates how this has to work, and skipping that step can cost you the argument before it starts.

Tone does real work in this document. A measured letter reads as someone preparing to act, while an angry one reads as someone venting, and the second is far easier to ignore.

Keep it factual. Leave out insults, exaggeration, and threats you cannot follow through on. Overstating the harm hands the other side something to attack instead of something to answer.

On delivery, follow the contract first and add proof of receipt second. Where the agreement says nothing, pick a method that generates a record.

Timing matters as well. Send it while the facts are fresh and the documents are easy to find, rather than letting a dispute drift for months in the hope it resolves itself.

Leave room for a reply that is not full capitulation. Naming an acceptable middle outcome, such as a partial refund or a revised schedule, often produces a faster resolution than an all-or-nothing demand.
