Ownership and Rights

Decide who owns the finished work, and say when that ownership passes over. Many freelancers hand over full rights only once final payment clears. Also note whether you may show the work in a portfolio.

Revisions and Approval

Say how many rounds of changes your fee covers, and how the client signs off on each finished stage. Give a review window as well, so a project cannot sit open forever. Work beyond the included rounds then bills at your stated rate.

Confidentiality

Explain how each side treats private files, data, and logins. One short clause usually covers a routine project.

Termination

Set out how either party ends the arrangement and how much notice they give. Then state what the client owes for work already delivered.

A signed agreement generally holds up when both sides accept clear terms and each gives something of value. Beyond that basic point, the details depend on where you live and who you work with.

Requirements vary by state, so check your state’s official website before you agree to anything unusual. Rules on worker classification, non-compete clauses, and payment timing all differ from place to place. Your client’s industry may layer on its own standards too.
