A Delaware independent contractor agreement records the services, fee, and schedule agreed with a self-employed worker.

For construction services, Delaware layers a separate statutory notice on top. That second document is easy to overlook and carries a penalty.

The agreement itself is private, with no filing or notary. The Workplace Fraud Act then adds obligations for construction work.

The Workplace Fraud Act

Chapter 35 of Title 19 covers construction services. Delaware presumes an employer-employee relationship whenever someone works for pay. The employer must then show that the person qualifies as a contractor or an exempt person.

Section 3501 sets a three-part definition. The person works free of the employer’s direction over how services get done. That person already runs an established trade, occupation, profession, or business of their own.

Then comes the third part, which offers two routes. Either the work falls outside the employer’s usual course of business, or the person holds registration under the Contractor Registration Act while working away from the employer’s premises.

The Written Notice Requirement

This step is specific to Delaware. Section 3507 requires written notice to every individual the employer classifies as a contractor or exempt person. Both the employer and that individual must sign it.

Skip it and the failure becomes evidence of a knowing violation. The penalty runs to $500 for each individual left unnotified.

Comply, and the employer gains a presumption of good faith in making the classification.

For construction services under the Workplace Fraud Act, yes. Your Delaware independent contractor agreement does not replace that notice, because the statute treats them as separate obligations.

Handle both, and keep the signed notice alongside the contract.

Timing matters here as well. The notice exists so the individual understands their classification before work begins, which makes it a poor candidate for backfilling after a dispute starts.

1. Draft the scope, fee, and schedule for the work.
2. Confirm the contractor meets each part of the section 3501 definition.
3. Check registration status where the exemption depends on it.
4. Issue the written notice and have both parties sign it.
5. Store the notice with the agreement.

Alongside the standard clauses, a Delaware independent contractor agreement should address:

• Freedom from control — results specified, methods left open.
• Independent trade — the contractor’s own business and clients.
• Place of work — off your premises where the definition relies on it.
• Registration details — where the contractor holds them.

Construction classification here carries real penalties, so a Delaware attorney is a sound stop before signing.
