What Is a Georgia LLC Operating Agreement?

A Georgia LLC operating agreement is a legally binding document that sets out your company’s ownership structure and internal operating rules.

It’s an essential tool for preventing disputes and proving your company’s legitimacy to lenders, investors, and courts. Although Georgia doesn’t require this agreement by law, it’s highly recommended to have one in writing to clearly document member duties and protect your LLC’s liability status.

How to Create a Georgia LLC Operating Agreement

Follow these steps to form your LLC and create your operating agreement in Georgia:

  1. Reserve your business name: Check name availability using Georgia’s business search website. You can reserve a name for 30 days by providing up to three variations in case your first choice is taken.
  2. Appoint a registered agent: Your registered agent must have a Georgia address and will receive official communications on behalf of your business. You may act as your own agent or appoint a legal or professional service.
  3. Choose your LLC type: Georgia allows both single-member and multi-member LLCs. If you’re the sole owner, form a single-member LLC. For companies with more than one owner, select a multi-member structure.
  4. Ensure federal compliance: Obtain an Employer Identification Number (EIN) from the IRS to pay taxes, hire employees, and open business bank accounts. LLCs with employees must pay federal payroll taxes for Social Security and Medicare.
  5. Meet state compliance requirements: Register your business with the Georgia Department of Revenue for state tax purposes. Depending on your business activities, you may also need Workers’ Compensation insurance and unemployment tax registration.
  6. File your annual registration: All Georgia LLCs must file an annual registration between January and April to keep state records current and maintain good standing.
