A multi-member LLC operating agreement is a written contract among LLC members that explains how the business will run. It documents ownership, member roles, voting rules, profit sharing, and what happens if someone leaves or the LLC closes.

Even if your state does not require an operating agreement, having one can help reduce confusion, avoid disputes, and show that the LLC is separate from its members.

Multi-Member LLC vs. Other Business Structures

• Multi-member LLC: Multiple owners (members) share rights and responsibilities based on the operating agreement.

A strong agreement covers the terms members are most likely to disagree about later. Start with the basics, and then add details that match how you actually run the business.

• LLC details: Legal name, principal address, formation state, and effective date.
• Business purpose: A clear description of what the LLC does.
• Member list and ownership: Each member’s name, ownership percentage, and any membership classes.
• Capital contributions: What each member contributes (cash, property, services, or other assets), and when.
• Management structure: Member-managed or manager-managed, and who has authority to bind the LLC.
• Voting rules: What requires a vote, how votes are counted, and what approvals are needed.

Tip: Keep your financial terms consistent. Your operating agreement should match what members agreed to in writing, including contributions, profit splits, and decision-making rules.

Use these steps to create an agreement that is clear, practical, and easy to follow as your LLC grows.

Step 1 – Gather Your Core Business Details

Step 2 – List Members and Ownership Interests

Name each member and document their ownership percentage (or units), including any member classes if your LLC uses them. This section should also explain how ownership changes if someone leaves or a new member joins.

Step 3 – Choose Management and Authority Rules

Decide whether the LLC is member-managed or manager-managed. Then write clear authority rules, such as who can sign contracts, open bank accounts, or approve major purchases.

Step 4 – Set Voting and Meeting Requirements

Define what requires a vote, how votes are counted, and whether certain decisions need majority or unanimous approval. Then set a quorum rule so members know when a meeting can take official action.

Step 5 – Add Financial Terms Members Can Follow

Document contributions, profit and loss allocations, and distribution timing. Also include practical safeguards, such as whether distributions can be paused to cover taxes, debt payments, or operating costs.

Step 6 – Cover Transfers, Disputes, and Dissolution

Spell out rules for selling or transferring interests, adding members, and resolving disagreements. Then describe how the LLC dissolves, including who is responsible for winding up the business and handling remaining assets.

Step 7 – Sign and Store the Agreement

Have all members sign and date the agreement, then keep it with your LLC records. Many businesses also keep a copy in their shared folder or document dashboard so members can access the latest version.
