An employee non-disclosure agreement is a contract in which an employee agrees to keep the employer’s confidential information private, during employment and for a period afterwards.
It is usually signed at the start of employment, either as a standalone document or as a clause within the employment contract. Existing staff are sometimes asked to sign one when a role changes or a new project begins.
Employees already owe certain duties to their employer in most places, but those default duties are limited and vary. A written agreement makes the expectation explicit and defines what is actually protected.
The document works best when it is understood rather than merely signed. An employee who knows which things are sensitive behaves accordingly; one who signed something at induction and never read it does not.
Define the categories that genuinely matter to your business rather than claiming everything.
Be equally clear about what is excluded: public information, anything the employee knew before joining, and the general skills and experience they build while working for you. That last exclusion matters, because an agreement that appears to claim someone’s professional capability tends to be read narrowly or disregarded.
The common failures all come from asking for more than confidentiality.
Do not bundle in a non-compete without thinking. Restricting where someone may work afterwards is a different instrument with different rules, and in some places it is restricted or prohibited entirely. Keep it separate and take advice on it separately.
Do not claim general knowledge. An employee takes their skills and experience with them, and no agreement changes that.
Do not restrict discussion of pay and working conditions. In many places employees have protected rights to discuss compensation and conditions with each other, and clauses cutting across those may be invalid and may create additional problems.
Do not make it indefinite without reason. Perpetual obligations on ordinary commercial information are hard to justify; genuine trade secrets are a narrower category and can reasonably be treated differently.
Tip: Review your standard form against the roles you actually hire. A single agreement written for senior technical staff often reads as absurd when handed to a part-time weekend employee, and absurd agreements get ignored.
This is a limit worth stating clearly, both because it is right and because getting it wrong creates real exposure.
An employee non-disclosure agreement cannot lawfully prevent someone reporting suspected illegal conduct to a regulator, a law enforcement body, or another appropriate authority. In many places such protections are expressly written into law, and clauses attempting to override them may be unenforceable.
The same applies to harassment, discrimination, and safety concerns. Confidentiality about commercial information is a different thing from silence about how people are treated, and agreements should not be drafted or presented in a way that blurs the two.
Say so in the document. Including an express carve-out confirming that nothing in the agreement prevents protected reporting costs nothing, removes ambiguity, and signals what kind of employer you are.
Tip: Explain report routes at induction alongside the agreement. An employee who knows where to raise a concern internally is far more likely to raise it internally.
Keep the document readable. A page or two that people actually read beats a longer one they do not.

Departure is when these agreements are tested, and a calm process protects everyone.
Run an exit conversation. Reminding a departing employee what remains confidential, in a neutral and specific way, is more effective than a letter from a lawyer three months later, and it gives them a chance to ask what they may say about the role in future.
Recover everything promptly. Devices, access credentials, and copies of documents should be collected on or before the last day, and accounts disabled the same day.
Do not treat every departure as a threat. Most people leave for ordinary reasons, and an aggressive exit process damages your reputation with those who stay as much as with the person leaving.
Take advice if you genuinely suspect misuse. Acting quickly matters, but so does acting on evidence rather than suspicion.
Nothing here is legal advice, and no rule on implied duties, enforceability, protected disclosures, or restrictive covenants is stated anywhere on this page. Have an employment lawyer in your jurisdiction review your standard form.
