A financial information non-disclosure agreement is a contract governing the sharing of financial records, accounts, forecasts, or banking details between parties for a specific purpose.
Financial data gets shared more often than people realise: with lenders, investors, accountants, valuers, prospective partners, and in family or matrimonial matters. Each of those situations involves handing over material that is genuinely sensitive.
The agreement narrows the purpose. Rather than protecting a business generally, it ties disclosure to one defined reason and restricts everything else.
It matters because financial information carries consequences beyond embarrassment. Margins reveal negotiating positions, forecasts reveal plans, and account details create fraud exposure.
The recipient’s own obligations vary a great deal. A regulated adviser is bound by professional duties; a prospective partner or an unregulated consultant is bound by nothing until you put something in writing.

Specify how it may be transmitted. Encrypted transfer or a controlled data room rather than email attachments is a reasonable requirement, and worth writing down.
Restrict copying and onward storage. Say whether the recipient may download, print, or retain copies, and where they may store them.
Name who may see it. Financial detail should reach the smallest possible group, each bound on the same terms.
Set a deletion obligation with a deadline. Not simply that material will be destroyed, but by when and with written confirmation.
Agree what happens to derived material. Recipients frequently build models, summaries, and internal memos from what you send, and those copies outlive the originals unless the agreement covers them explicitly.
Tip: Redact what the purpose does not require. A lender assessing serviceability rarely needs individual salaries or full customer names, and providing a redacted version is safer than trusting a clause to protect an unredacted one.
Two categories inside financial information carry risks of their own.
Account numbers and payment details create fraud exposure. Invoice and payment redirection fraud typically begins with someone obtaining genuine banking details, so share them only where necessary, verify changes through a separately confirmed channel, and never treat an NDA as protection against that risk.
Personal data is separately regulated. Financial records frequently contain information about identifiable individuals — staff salaries, customer names, personal transactions — and data protection obligations apply to that regardless of what any confidentiality agreement says between the parties.
That means an NDA is not a substitute for compliance. Where personal data is being shared, the legal basis for sharing it, and what the recipient may do with it, are separate questions with separate answers.

A few limits are worth knowing.
It does not prevent lawful disclosure. Recipients may be required to disclose information by a court, a regulator, or a tax authority, and a well-drafted agreement acknowledges that with a notification obligation rather than pretending otherwise.
It does not protect against fraud. Someone determined to misuse banking details will not be stopped by a contract, which is why verification procedures matter more.
It does not satisfy data protection obligations. Those apply independently wherever personal data is involved.
It does not undo disclosure. Once financial information is out, the remedy is a claim rather than a reversal, which is the argument for sharing less in the first place.
It does not control what a recipient concludes. Someone who has seen your margins understands your position afterwards, whatever they do with the document itself.
