A contractor non-disclosure agreement is a contract in which an independent contractor agrees to keep a client’s confidential information private, both during the engagement and for an agreed period afterwards.
Contractors sit in an awkward position. They often need deep access to systems, customers, pricing, and plans in order to do the work, but they are not employees and are usually working for other clients at the same time.
That combination is what makes the document worth getting right. The obligations an employer relies on by default do not automatically apply to someone outside the business, so whatever protection exists has to be written down.
A well-drafted agreement protects the client without making the contractor’s ordinary work impossible. One that reaches too far tends to be resisted, renegotiated, or simply ignored.
Put a contractor non-disclosure agreement in place before the contractor sees anything sensitive. Common situations include:
Timing matters more than people expect. Asking someone to sign after they have already had access weakens the position considerably, so the agreement should be signed before the first working session rather than bundled into paperwork later.
The document should be specific enough to enforce and narrow enough to be reasonable.
Full legal names of the client and the contractor, including their entity if they trade through one, and a reference to the underlying contract.
What is actually protected. Be specific: source code, customer lists, pricing, roadmaps, financials, designs.
Information already public, already known to the contractor, independently developed, or lawfully received elsewhere.
That the information may be used only to perform the engagement and nothing else.
How the contractor must store and handle the information, including devices and cloud accounts.
Whether the contractor may share information with their own team, and on what terms.
How long the obligation lasts after the engagement ends.
What happens to documents, files, and access when the work finishes.
Which law applies, plus signature blocks and dates.
This is the distinction that causes the most trouble, and it is worth separating clearly.
An NDA stops the contractor disclosing your information. It does not, on its own, give you ownership of what they create. Who owns the code, designs, or written material a contractor produces depends on the terms of the engagement contract and on the law where you are.
Assumptions here are dangerous. Clients frequently believe that paying for work means owning it outright, and that is not universally true for independent contractors in the way it typically is for employees.
Deal with ownership explicitly in the services agreement, using assignment language rather than relying on the NDA to do work it was never designed for.
Tip: If the contractor will use their own pre-existing tools, libraries, or templates, agree in writing what stays theirs and what licence you get to use it. Sorting that out at the start avoids a dispute at exactly the moment you need to keep using the deliverable.
Overreaching agreements are the ones that fail, and contractors are used to reading them.
Define confidential information rather than claiming everything. A clause covering all information of any kind is both unhelpful and more likely to be challenged than one naming the categories that genuinely matter.
Set a sensible duration. Indefinite obligations on ordinary commercial information are hard to justify; genuine trade secrets may warrant longer, and it is reasonable to treat them separately.
Be careful about restricting the contractor’s other work. A confidentiality clause that in practice stops someone working in their own field starts to look like a non-compete, and non-competes are treated very differently — in some places restricted or unenforceable.
Recognise residual knowledge. A contractor will inevitably carry general skill and experience away with them, and an agreement that tries to prevent that is unrealistic.
Tip: Ask what the contractor’s other clients would think of the clause. If it would stop a reasonable professional accepting the work, expect pushback and budget time for it.

Some limits apply regardless of what the document says, and it is better to know them in advance.
It cannot prevent lawful reporting. In many places a confidentiality agreement does not stop someone reporting suspected illegal conduct to a regulator or law enforcement, and clauses attempting to do so may be unenforceable or worse.
It cannot cover genuinely public information. Once something is properly in the public domain, an NDA does not put it back.
It cannot substitute for access control. The practical protections — limiting permissions, removing access promptly when an engagement ends, and not sharing more than the work requires — do more real work than any clause.
It does not decide employment status. Whether someone is genuinely an independent contractor is determined by the substance of the relationship, not by what a document calls them, and that classification carries tax and employment consequences.
