A product development non-disclosure agreement protects the information shared while a physical product is being designed, prototyped, and prepared for manufacture.
Product work involves a long chain of people. Industrial designers, engineers, tooling makers, component suppliers, contract manufacturers, packaging firms, and testing labs may all see the product before anyone outside the project does.
Each of them needs real detail to do their job — dimensions, materials, tolerances, costs, and volumes — and each is a point where information can leak, often without malice.
The agreement covers the development relationship rather than a single conversation. It runs across months, several revisions, and frequently more than one supplier.
The exposure a product development non-disclosure agreement addresses goes well beyond the design itself.
Cost and volume information is the category people forget. A supplier who knows your margins and your forecast order size holds a negotiating advantage well beyond the current project, and that advantage persists long after the design work is finished.
Confidentiality is only half the problem in product development, and the other half causes more disputes.
Clients routinely assume that commissioning a design means owning everything connected to it. That assumption is where most manufacturing disputes begin, and it is cheap to resolve at the outset and expensive afterwards.
An NDA does not decide who owns anything. Who owns the design, the CAD files, the tooling, and any improvements a manufacturer suggests are questions for the development or manufacturing agreement, not the confidentiality document.
Tooling ownership matters practically. Where a manufacturer holds the moulds, moving production elsewhere can be slow and expensive even when you own the design, so agree in writing who owns the tooling and what happens to it if you leave.
Improvements need naming. Manufacturers frequently propose changes that make a product cheaper or more producible, and who owns those suggestions should be settled before they are made rather than argued about after they prove valuable.
Tip: Ask early where the tooling will physically sit and who has the files. The answer determines how much leverage you actually have when it is time to renegotiate or move.
Take advice on design rights and other protections that may apply to the appearance or function of a product. Confidentiality is one layer, and it is not the only one available.
Much product development involves suppliers in other countries, and that changes the practical calculation.
Enforcement is harder across borders. Which law governs, where a dispute would be heard, and whether a judgment could actually be enforced are questions worth answering before signing rather than after a problem.
Take local advice where the value justifies it. In some places a differently structured agreement is significantly more useful than a standard one drafted elsewhere, and a local lawyer will know which.
Structure the relationship to reduce exposure. Splitting manufacture between suppliers, keeping a critical component or process in-house, and controlling the tooling do more practical work than any clause.
Vet before you disclose. References, a site visit, and a smaller first order tell you more about a manufacturer than their signature on an agreement, and they cost less than a dispute.
Tip: Assume the specification will be seen by more people than you were introduced to. Sub-suppliers are normal, so ask who else in the chain will receive your files and require them to be bound too.

Share what each party needs. A packaging supplier does not need your full bill of materials, and a component maker does not need your launch plan or your forecast volumes.
Watermark and version your files. It makes leaks traceable and prevents the separate problem of a supplier building to a superseded revision.
Keep a distribution record. Knowing which supplier received which file, and when, is what makes a later conversation possible.
Retrieve prototypes. Samples left at a factory after a project ends are a common source of copies, and asking for them back is normal rather than distrustful.
