A real estate non-disclosure agreement protects information shared during a property transaction, before either side is committed to proceeding.
Property deals surface a great deal of sensitive material early. Financial performance, tenant details, maintenance history, environmental reports, and the seller’s reasons for selling all become visible to people who may simply walk away.
The agreement is most common in commercial and investment transactions, where diligence is extensive and buyers are often active in the same market. It appears in residential deals mainly where an owner is selling off-market.
It also protects the fact of the transaction. A seller frequently has good reasons for tenants, staff, neighbours, and competitors not to learn the property is being marketed, and a leak can affect value whether or not the sale proceeds.

Tenant information deserves particular attention. Lease terms, arrears, and tenant identities are commercially sensitive, and where individuals are involved, data protection obligations apply independently of anything in the agreement.

The no-contact provision is the clause a real estate non-disclosure agreement most often omits and most often needs.
A prospective buyer who contacts tenants directly can unsettle them badly. Tenants asked about a sale may start looking elsewhere, delay renewals, or seek concessions, and that damages the asset whether or not the sale completes.
Route all enquiries through the seller or agent. Legitimate diligence questions about leases and occupancy can be answered from the documents without the buyer approaching occupiers at all.
Control inspections. Access should be arranged through the seller, with proper notice, so that nobody discovers the property is for sale by encountering an unannounced surveyor in the car park.
Apply it to staff too, where a business operates from the property, since employees learning of a sale from a stranger is its own problem.
Tip: Where the buyer is a competing landlord or investor, stage the disclosure. Anonymised summaries first, tenant identities and full lease terms once they have demonstrated they are funded and serious.
Property transactions involve many parties, and the agreement needs to reach them.
Buyers rarely act alone. A single prospective purchaser may bring a lender, a surveyor, a solicitor, an environmental consultant, and an investment committee to the diligence process, and each of those people will see material the seller would rather keep contained.
Name who may receive information. Lenders, surveyors, solicitors, and investment committees all need access, and permitting them explicitly avoids a technical breach the moment diligence starts.
Require advisers to be bound. Either by the buyer being responsible for their conduct, or by separate undertakings.
Remember the agent’s own duties. Estate and letting agents may owe obligations to their clients and be subject to regulatory requirements of their own, which sit alongside anything the parties sign rather than being replaced by it.
Consider what a data room already controls. Access logs, watermarking, and permission settings do practical work, and combining them with the agreement is considerably more effective than relying on either one alone.
Tip: Keep a record of who was granted access and when. On a transaction that runs for months, that log is the only reliable answer to a later question about who saw what.

A few limits are worth knowing before relying on it.
It does not commit anyone to a sale. Either side may withdraw, and the agreement governs information rather than intent.
It does not replace disclosure obligations. What a seller must tell a buyer about a property is a separate matter, set by law and by the transaction documents, and a confidentiality agreement does not override or reduce any of it.
It does not satisfy data protection requirements. Where tenant or occupier information identifies individuals, obligations apply on their own footing.
It does not stop a buyer using market knowledge. Someone who inspects a property understands the market better afterwards, and that cannot be undone by any agreement.
