A limited partnership agreement governs a business with two classes of partner: general partners who run it, and limited partners who invest but do not manage.
The split is the whole point of the structure. Limited partners contribute capital and share in profits while their exposure is generally confined to what they put in; general partners take on management and, typically, broader responsibility for the partnership’s obligations.
It suits arrangements where money and management come from different people. Property syndicates, investment funds, and family businesses with passive investors commonly use it, and it lets investors participate without taking on the running of the business.
Like an LLP, the structure is created by statute. Registration, what each class of partner may do, and what protection limited partners actually receive all differ between jurisdictions.
Understanding the distinction matters before anyone signs a limited partnership agreement.
General partners manage the business. They make decisions, sign contracts, and carry responsibility for the partnership’s obligations, which in many structures is personal and unlimited.
Limited partners provide capital. They share in profits according to the agreement, and their liability is generally limited — but that protection is usually conditional on staying out of management.
That condition is the trap. In many jurisdictions a limited partner who participates in running the business can lose their limited status and become exposed as a general partner would be. What counts as participation is a technical question, and it is not always obvious.
If you are a limited partner, take advice on what you may and may not do before you get involved in decisions. A well-intentioned limited partner helping with operations can undo the protection they invested on the strength of.
The document should be clear about which class each partner belongs to and what follows from that.

How returns are shared between the classes, and when distributions are made.
What general partners may do alone, and what requires wider consent.
Information rights, voting on defined matters, and anything reserved to them.
What they must not do, to preserve their status.
Whether interests may be sold, and on what approval.
How partners join and leave, and how interests are valued.
How long the partnership runs, how it ends, and which law applies.
Limited partnerships are statutory structures, and the details decide whether they work as intended.
Whether the structure is available, what it is called, how it must be registered, what must be filed, what limited partners may do without losing protection, and how it is taxed all vary by jurisdiction.
Securities rules may also apply. Offering interests in a limited partnership to investors can engage regulation quite separate from partnership law, depending on who is being offered what and how. That is a question for a lawyer before anyone is approached.

Limited partners give up control, which makes information the main protection they retain.
Agree what they receive and how often. Annual accounts, management reports, and notice of significant events are all reasonable, and the agreement should say which.
Define the significant events. A sale of a major asset, additional borrowing, admission of new partners, or a change in the business’s direction are the moments limited partners will want to know about, and often to vote on.
Be careful drafting voting rights. Giving limited partners a say on defined fundamental matters is common, but the line between protective rights and participating in management is exactly where limited status can be jeopardised. This needs a lawyer rather than a template.
Tip: If you are considering investing as a limited partner, ask what you will receive, how often, and what you may vote on — and take your own advice on it. The general partner’s lawyers are not acting for you.
