An Iowa residential purchase agreement is a written contract between a home’s buyer and seller covering price, conditions, and closing. Iowa ties it closely to the seller’s disclosure statement. That statement has to reach the buyer before anyone makes or accepts a written offer.

Iowa’s Real Estate Disclosures chapter (Iowa Code ch. 558A) governs the order of paperwork. Plan your Iowa residential purchase agreement to match it.

Timing Runs Both Ways

The seller has to deliver the disclosure statement before either making a written offer or accepting one. So the rule applies whether the seller is the one making a written offer or the one accepting.

Approved Ways to Deliver It

Delivery can be personal, by certified or registered mail, or electronic, to the buyer or the buyer’s agent. It may also go to the buyer’s spouse, unless the parties provide otherwise.

A Record Option

The seller may file the disclosure statement with the county recorder alongside other instruments. A filed copy gives both sides a fixed record of what the seller said.

Honest Mistakes and Liability

Under chapter 558A, the seller isn’t liable for an error, inaccuracy, or omission in the statement in most cases. Liability turns on whether the seller knew of the inaccuracy or failed to use ordinary care in getting the information.

Some items may come from a professional’s report, such as an inspector’s. That person’s liability under the chapter is limited to matters within their own practice or expertise, unless they didn’t use the care ordinary in their field.

The buyer gets a no-fault exit. If the statement isn’t delivered on time, the buyer may withdraw the offer, or revoke an acceptance, without liability. The window is:

• Three days after personal delivery of the statement
• Five days after electronic delivery or delivery by mail

So a seller who waits until after signing hands the buyer a short, penalty-free way out.

Iowa sales typically run in this sequence.

1. Prepare the statement. The seller completes the disclosure statement.
2. Deliver it first. Send it by an approved method before any written offer is made or accepted.
3. Exchange offers. The parties negotiate and sign the Iowa residential purchase agreement.
4. Consider filing it. The seller may file the statement with the county recorder.
5. Close on schedule. Move ahead once any late-delivery window has passed.

Fill in these terms:

• Names of all buyers and sellers, as on their IDs
• Address and legal description of the property
• Agreed price, earnest money, and loan type
• The disclosure delivery date and method
• Inspection contingencies
• Target closing day and move-in day
