A sales agreement is a contract recording the sale of goods between a buyer and a seller. It sets out what changes hands, the price, and the terms each side accepts.

The document does two jobs. It closes the deal, and it gives both parties something to point at if memories differ later.

Goods, Not Services or Property

This contract covers physical items: equipment, inventory, vehicles, materials, and similar goods. Service work and real estate run on their own documents, so pick the right one for the transaction.

Who Uses One

Businesses buying stock or equipment, private sellers moving a high-value item, and suppliers setting terms with a new customer all reach for the same structure. The detail changes with the deal; the framework does not.

What It Does Not Guarantee

A signature does not make a buyer solvent or a seller honest. Check who you are dealing with before you commit, particularly on a large purchase.

A receipt proves payment. An invoice requests it. A sales agreement sets the terms both sides operate under, which is a different job entirely.

Reach for a full contract when:

• The value is high enough that a dispute would hurt
• Delivery happens later than payment, or the other way around
• The buyer pays in installments
• The goods need inspection or testing before acceptance
• Either side wants warranties or return rights in writing
• The parties have not traded together before

Smaller, immediate purchases rarely need one. A bill of sale or a receipt handles a cash transaction where goods and money move at the same moment.

Business to Business and Business to Consumer

Consumer sales carry protections that business-to-business deals do not. Requirements differ by state and by the type of goods, so check your state’s official website and take advice on anything substantial.

Parties

Full legal names and addresses for buyer and seller. Use registered company names rather than trading names.

Description of Goods

Quantity, specification, condition, and any identifying numbers. Attach a schedule if the list runs long.

Price and Taxes

The total, the currency, and who covers any taxes or duties. Ambiguity here is the single most common source of argument.

Payment Terms

When payment falls due, the method, and what happens if it arrives late. Deposits and installments belong here too.

Delivery

Where the goods go, who arranges transport, and who pays for it. Add a date or a window.

Transfer of Title and Risk

State when ownership passes and when the risk of loss shifts. These two can happen at different moments, so say so explicitly.

Warranties and Condition

Whether the goods carry a warranty or sell as-is. Set out any inspection period and how a rejection works.

Signatures and Date

Both parties sign and date. Add witness lines only if your circumstances call for them.

These three clauses do the heavy lifting. Get them right and most disputes never start.

Decide the following before drafting:

• Whether payment comes before, on, or after delivery
• What proportion, if any, sits as a deposit
• Who bears the cost and risk of transport
• What counts as acceptance of the goods
• What either side can do if the other defaults

Ownership does not always pass on delivery, and risk does not always follow ownership. Therefore, name the exact trigger for each rather than leaving the timing to inference.

Put the Remedies in Writing

Late payment, damaged goods, and short deliveries all happen. Say up front what each side can do about them, because a remedy agreed in advance is far cheaper than one argued afterward.

Retention of Title

Sellers often keep ownership until payment clears in full. Say so in the contract if that is the arrangement, because an unwritten expectation offers no protection at all.

Read the whole document before signing, including anything attached as a schedule. The attachment is usually where the specifics live.

Follow a simple sequence:

1. Confirm both parties’ legal names and authority to sign.
2. Check the goods description against what you actually agreed.
3. Sign, date, and exchange copies.
4. File it with the invoice, receipt, and delivery record.

Keep the paperwork together for as long as your records policy requires. Warranty claims and tax queries both surface long after a deal feels finished, sometimes years later. A scanned copy stored alongside the original covers you if the paper version goes astray.
