Keep the Register in Step

The holder’s full legal name, or the entity’s registered name. Nicknames and trading names create problems on transfer.

Number and Class of Shares

State the quantity in figures and in words, then name the class. Different classes carry different rights, so the label matters.

Par Value or a Statement of No Par Value

Include whichever applies to the company. Your bylaws and formation documents will say which.

Date of Issue

The date the board authorized the issue. It anchors the paperwork in the company’s timeline.

Signatures and Any Legend

Two officers commonly sign, and transfer restrictions often appear as a legend on the face or the back. Check the bylaws for what your company requires.

Many companies now track share ownership electronically and issue no paper at all. Both approaches can work, and the choice usually sits in the bylaws.

Weigh the practical differences:

• Paper gives shareholders something concrete to hold and store.
• Electronic records cannot be lost, torn, or left in a drawer.
• Paper transfers need physical delivery and endorsement.
• Electronic systems update the register the moment a transfer completes.

Whether a company must issue paper depends on where it was formed and on its own governing documents. Therefore, check your state’s official website and read the bylaws before deciding to skip certificates entirely.

Replacing a Lost Certificate

Companies usually require a written statement from the holder, and sometimes an indemnity, before reissuing. Ask the company secretary or the board what the process is, and expect the replacement to carry a new number. Cancel the missing one in the register at the same time, so nobody can present it later.

Approve the issue before printing anything. Paperwork that predates the board resolution creates a discrepancy someone will eventually question.

Follow a clear sequence:

1. Confirm the board resolution authorizing the shares.
2. Complete the details and check them twice.
3. Have the required officers sign.
4. Record the issue in the share register.
5. Deliver the original and keep a copy on file.

Send the holder a scan as well as the original, since a scan gets found faster than a filing cabinet. Store the company’s copies with the corporate records rather than loose in a folder. Buyers, auditors, and lenders all ask to see them, usually at short notice.
