A construction subcontractor agreement sets terms between a general contractor and a trade firm performing part of a project. It records the scope, the price, the schedule, and which promises from the owner contract travel down.
The document does a job the individual trade agreements cannot. It ties one firm’s obligations to a wider program that somebody else runs.
That coordination role explains most of its clauses. Delay, access, sequencing, and notice deadlines all matter because a dozen firms share one site.
Size changes the document too. A single trade on a small remodel needs less than a multi-prime fit-out. Both still rely on the same flow-down discipline.
It also sits beneath another contract. Whatever you promised the owner shapes what you must require here. The two documents have to agree with each other.
Flow-down means the subcontractor accepts obligations you owe the owner. A construction subcontractor agreement should handle that deliberately rather than with one sweeping sentence.
Identify the prime contract and say which parts bind the subcontractor. Blanket incorporation of a document nobody has read invites disputes later.
Attach the relevant sections, or confirm the subcontractor received them. A term nobody saw is hard to enforce and harder to defend.
Payment terms, dispute forums, and warranty periods often need separate treatment. Copying them across unthinkingly creates obligations neither side intended.
Say which document wins when two clauses disagree. An order of precedence clause saves an argument at the worst possible moment.
Confirm the subcontractor takes direction from you, not from the owner or their consultant. Instructions arriving direct cause scope changes nobody priced. Log any that arrive anyway, so the record shows where the instruction came from.
Programs slip because trades collide. So write the coordination rules into the agreement.
Name the schedule the subcontractor works to, and say how updates get issued. Working to a superseded version wastes weeks.
Set how fast a subcontractor reports a delay and in what form. Late notice usually forfeits the claim entirely. Also say what evidence supports a claim, since a bare assertion rarely survives review.
Say what condition an area must reach before this trade starts. Also name who confirms that readiness.
Where the owner contract carries them, decide whether exposure passes down and how it gets apportioned. Silence leaves you carrying it alone.
Require attendance at coordination meetings and daily manpower reporting. Records made at the time win delay disputes.
Agree hoisting, laydown, parking, and waste responsibilities. On a tight urban site these decide productivity more than crew size does.
Agree how a directive to speed up gets priced. Overtime authorized verbally rarely gets paid without a fight.
Paperwork controls the front end of a construction package.
Set deadlines for shop drawings, product data, and samples. Long-lead items need earlier dates than everything else.
State how long review takes and who performs it. A subcontractor cannot hold a schedule when approvals sit unanswered. Count the days from receipt rather than from the meeting where somebody mentions it.
Name who raises requests for information, who routes them, and the response time expected. Direct contact with the designer usually causes confusion.
Reviewing a submittal does not make you responsible for the subcontractor’s means and methods. Say so plainly.
Where a trade completes part of the design, say who engineers it and who reviews it. Deferred submittals slip through the gaps between parties.
Require written approval before an alternative product goes on order, and say who carries the cost if it gets rejected.
Money moves through several hands on a job site. A construction subcontractor agreement should say what happens at each pause.
Set the day each month applications fall due and what documents accompany them. Fixed dates beat floating ones nobody tracks. A late application misses your own owner billing cycle.
Contracts often tie subcontractor payment to receipt of owner funds. Enforceability of these clauses varies by state, so confirm your position before relying on one.
State the percentage held, when it reduces, and what releases it. Also say whether early completion releases a trade sooner.
Set a deadline for claiming extra time or money, and require written notice. Most disputes turn on whether notice arrived in time.
Say who may direct extra work and what happens when pricing follows later. Work performed on a verbal instruction is the hardest to recover.
Require waivers matching each application, plus evidence that lower tiers received funds before the next release.

State the policies and limits your owner contract demands, plus additional insured status and any waiver of subrogation.
Indemnity clauses are heavily regulated, and their permitted limits differ by state. So have yours reviewed rather than copied from a previous project.
Require compliance with the site safety program, orientation for every worker, and immediate incident reporting. Name who runs the orientation and who keeps the attendance record.
Define what completion means for this trade, who inspects, and how long punch work has to clear.
State when the trade warranty begins: substantial completion, owner occupancy, or acceptance. Different start dates on one project cause confusion later.
List what you need: warranties, operation manuals, as-builts, and final waivers. Chasing these after demobilization rarely works. Tie the final payment to their arrival and the problem solves itself.
