Free Equipment Lease Agreement Template

An equipment lease agreement is a written contract for renting equipment. The equipment owner (the lessor) lets another person or business (the lessee) use the equipment for a set fee and time period. (For definitions, see Investopedia’s explanations of lessor and lessee.)

Unlike buying, leasing gives the lessee access without paying the full purchase price up front. Meanwhile, the lessor can earn income from equipment they are not currently using while keeping ownership.

Many equipment leases in the US follow rules in UCC Article 2A (Leases), which covers common issues like delivery, risk of loss, and what happens if one side does not follow the agreement.

What Equipment Can Be Leased?

Equipment lease agreements can cover many items, including:

• Vehicles
• Power tools
• Medical equipment
• Heavy machinery
• Electronics
• Event equipment
• Furniture and appliances
• Gym equipment

Use an equipment lease agreement when you want clear terms for an equipment rental, especially when:

• The lease is long-term or recurring.
• The equipment is high-value, specialized, or requires careful handling.
• A business is leasing equipment to another business, or an individual is leasing to another person.
• You want written rules for payments, damage, maintenance, and returns.
• Leasing is more practical than buying.

A strong agreement spells out responsibilities on both sides. Most equipment lease agreements include:

• Parties. Names, addresses, and contact details for the lessor and lessee.
• Equipment description. Make, model, serial number, and current condition, including any existing damage.
• Lease type and term. Fixed end date or recurring term, plus any renewal terms.
• Payment terms. Rent amount, due dates, payment methods, deposits, and late fees.
• Use rules. Where the equipment can be used, who can operate it, and what is prohibited.
• Maintenance and repairs. Who handles routine maintenance, breakdowns, and replacement parts.
• Insurance and risk. Whether insurance is required, and who is responsible for loss, theft, or damage.
• Return rules. When and how the equipment must be returned, and what condition it must be in.
• Liability. Who is responsible if the equipment causes injury or property damage.
• Dispute process. Whether disputes will be handled through mediation or arbitration (see Cornell’s definitions of mediation and arbitration).
• Termination. When either party can end the lease early, and what fees or steps apply.

Use these steps to build a clear lease that is easy to follow and easier to enforce.

1. Identify the Parties

List the lessor and lessee using full legal names and contact details. If either party is a business, use the registered business name and a notice address.

2. Describe the Equipment in Detail

Be specific so there is no confusion about what is being rented. Include:

• Make and model
• Serial number or unique ID
• Current condition and known issues

If helpful, attach photos or a condition checklist at the start of the lease.

3. Choose the Lease Type and Term

Decide whether the lease:

• Runs for a fixed period and ends on a set date, or
• Continues month to month until someone gives notice

Then add the start date, end date (if any), and the notice required to end the lease.

4. Set Payment Terms

State exactly how much rent is owed, when it is due, and how it must be paid. Also include:

• Any deposit and when it is refundable
• Late fees or grace periods
• Other charges, such as delivery or cleaning fees

Tip: If you want an extra layer of proof for each payment, provide areceipt after payments are made.

5. Explain Return Rules

Include the return date, return location, and condition expectations. Also clarify whether the lessee must deliver the equipment back or if the lessor will pick it up.

6. Assign Maintenance, Repairs, And Insurance

Spell out who pays for:

• Routine maintenance
• Repairs from normal wear and tear
• Repairs caused by misuse
• Insurance coverage, if required

These details prevent surprises when the equipment needs service mid-lease.

7. Address Liability and Risk of Loss

State who is responsible if the equipment is damaged, lost, destroyed, or stolen. Also clarify responsibility if the equipment causes injury or property damage.

8. Add Dispute and Termination Terms

Explain how disputes will be handled and how either party can terminate early. If there is an early termination fee, include it clearly.
